1. Acceptance of Terms
By accessing or using the HealthConnect MENA platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not access or use our Services.
These Terms of Service constitute a legally binding agreement between you and HealthConnect MENA ("we," "our," or "us") regarding your use of our Services.
2. Description of Service
HealthConnect MENA is a platform that connects healthcare organizations and individuals ("Clients") with healthcare experts and consultants ("Experts") in the Middle East and North Africa region. Our Services facilitate the matching process, project management, and communication between Clients and Experts.
We do not provide healthcare services directly. We serve as an intermediary platform to connect Clients with appropriate Experts based on their needs and requirements.
3. User Obligations
Client Obligations
As a Client using our Services, you agree to:
- Provide accurate and complete information when creating an account and submitting project requests
- Clearly communicate project requirements, timelines, and expectations
- Pay all applicable fees and charges on time
- Engage with Experts in a professional and respectful manner
- Comply with all applicable laws and regulations
- Protect the confidentiality of Expert information as appropriate
- Provide feedback on Expert performance when requested
Expert Obligations
As an Expert using our Services, you agree to:
- Provide accurate and complete information about your qualifications, experience, and expertise
- Maintain all necessary licenses, certifications, and credentials required for your area of expertise
- Deliver services to Clients with professional care and skill
- Communicate promptly and professionally with Clients and HealthConnect MENA
- Comply with all applicable laws, regulations, and professional standards
- Maintain appropriate professional liability insurance
- Protect Client confidential information
- Pay all applicable platform fees and charges
4. Confidentiality
Users of our Services may have access to confidential information belonging to other users or to HealthConnect MENA. You agree to:
- Maintain the confidentiality of any proprietary or sensitive information you receive
- Use confidential information only for the purposes of engaging with the Services
- Implement reasonable security measures to protect confidential information
- Not disclose confidential information to any third party without express permission
- Return or destroy confidential information upon request or termination of the engagement
5. Intellectual Property
All content on the HealthConnect MENA platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of HealthConnect MENA or its content suppliers and is protected by international copyright laws.
The intellectual property rights for work products created during Client-Expert engagements will be governed by the specific agreements between Clients and Experts. HealthConnect MENA claims no ownership over such work products unless expressly stated otherwise.
6. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HEALTHCONNECT MENA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
HEALTHCONNECT MENA MAKES NO WARRANTY THAT:
- THE SERVICES WILL MEET YOUR REQUIREMENTS
- THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
- THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS
HEALTHCONNECT MENA DOES NOT GUARANTEE THE QUALITY, ACCURACY, OR APPROPRIATENESS OF EXPERTS' SERVICES OR ADVICE. CLIENTS ARE SOLELY RESPONSIBLE FOR EVALUATING AND SELECTING APPROPRIATE EXPERTS FOR THEIR NEEDS.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEALTHCONNECT MENA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
- ANY CONTENT OBTAINED FROM THE SERVICES
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
IN NO EVENT SHALL HEALTHCONNECT MENA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
8. Termination
HealthConnect MENA reserves the right to terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.
All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9. Governing Law
These Terms of Service shall be governed and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms of Service or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
10. Changes to Terms
HealthConnect MENA reserves the right to modify or replace these Terms of Service at any time at our sole discretion. We will provide notice of any significant changes by posting the new Terms of Service on this page and updating the "Last Updated" date.
Your continued use of the Services after any such changes constitutes your acceptance of the new Terms of Service. If you do not agree to the new terms, you are no longer authorized to use the Services.
